These Terms of Service ("Terms") are a binding agreement between you and Dravio Consulting LLC, a Minnesota limited liability company ("Dravio," "we," "our," or "us"). By accessing or using the Dravio website (dravio.co) or the Dravio platform (dravio.pro), you agree to these Terms. If you do not agree, do not use our services. If we enter a separate signed service agreement or order form with you, that agreement governs your subscription and controls if it conflicts with these Terms.
Dravio provides AI-assisted tools for small businesses, which may include social content generation, review management, lead capture, scheduling/booking, and related business features. We may add, change, or discontinue features over time. Specific features, fees, and any service levels applicable to a paid subscription are set out in your service agreement or order form — these Terms do not by themselves promise any particular feature, result, or level of availability.
The services are intended for business use by people aged 18 or older. You are responsible for the accuracy of your account information, for keeping your account credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.
Your data is yours. You retain ownership of the business information, content, customer records, and leads you provide or generate through your account.
License to operate the service. You grant us a limited license to host, process, and transmit your data solely to provide, secure, and support the services for you, and to use de-identified, aggregated data derived from use of the services to operate, maintain, and improve them. Aggregated data cannot identify you or your customers. We do not sell your personal information, we do not share one client's individual data with other clients, and we do not use your data to train third-party AI models.
You agree to use the services only for lawful business purposes and to comply with all applicable laws, including those governing privacy, marketing communications (such as CAN-SPAM and TCPA), and intellectual property. You will not use the services to generate or distribute content that is false, deceptive, infringing, or unlawful.
Data about your customers and participants. When you use the platform to manage information about your own customers or program participants, you are the controller of that information and Dravio acts as your service provider. You are responsible for having a lawful basis and any required notices and consents — including, where programs involve minors, any parental or guardian consent required under the Children's Online Privacy Protection Act (COPPA) and applicable state law.
The platform produces AI-generated content drafts. AI output can be inaccurate, incomplete, or unsuitable, and is provided for your review. You must review and approve content before it is published, and you are solely responsible for the accuracy, appropriateness, and legality of anything you approve. The approval workflow is a tool to assist you; it does not constitute editorial, legal, or compliance review by Dravio.
Paid features are provided on the subscription terms, fees, and billing cycle stated in your service agreement or order form. We may change pricing for future billing periods with reasonable advance notice. Except where required by law or stated in your service agreement, fees are non-refundable.
The services rely on and may integrate with third parties (for example, cloud hosting, email delivery, AI providers, and, where you enable them, social or business platforms). Your use of those third-party services is subject to their terms, and we are not responsible for their acts, omissions, or availability.
The services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or secure, or that any particular business result, revenue, or outcome will be achieved. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
To the maximum extent permitted by law, Dravio will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Dravio's total liability arising out of or relating to the services will not exceed the greater of the fees you paid to Dravio in the three months before the event giving rise to the claim, or USD $100.
You will defend, indemnify, and hold Dravio harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your use of the services, your data or content, your violation of these Terms or applicable law, or your handling of your customers' or participants' information.
Either party may terminate use of the services as described in the applicable service agreement, or — absent one — at any time. Around termination, we will provide a reasonable opportunity to export your data; after a wind-down period, platform data and account-specific assets may be deleted in line with our Privacy Policy. Sections that by their nature should survive termination (including Your Data and Ownership, Disclaimers, Limitation of Liability, and Indemnification) will survive.
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. Before filing any claim, the parties agree to first try in good faith to resolve the dispute by contacting each other. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Minnesota, and you consent to their jurisdiction and venue.
We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, take reasonable steps to provide notice. Continued use of the services after an update means you accept the revised Terms.
